Understanding Regulation O

Regulation O was established by the Federal Reserve to prevent preferential lending and conflicts of interest involving bank executive officers, directors, principal shareholders, and their related interests. It requires insider loans to be made on substantially the same terms as comparable loans to other borrowers. Individual insider lending is generally limited to 15% of bank capital, plus an additional 10% for qualifying secured loans. Prior board approval is generally required when aggregate credit exceeds the greater of $25,000 or 5% of capital, with a maximum approval trigger of $500,000. Executive officers face additional lending restrictions. The Federal Reserve’s 2026 proposal would increase several thresholds, including the $500,000 board-approval ceiling to $2 million, subject to capital-based limits.

Verify capital, loan balances, and applicable rules before relying on results. Initial figures are illustrative; proposed calculations remain placeholders, not the linked 2026 proposal. This is not compliance advice.
